1. Acceptance of Terms

Welcome to Cove. These Terms of Service (“Terms”) constitute a legally binding agreement between you and Cove (“we,” “us,” or “our”) regarding your use of our AI-powered job application management platform and related services (collectively, the “Service”).

By accessing or using Cove, you agree to be bound by these Terms and our Privacy Policy. If you do not agree to these Terms, you may not access or use the Service.

We reserve the right to modify these Terms at any time. Continued use of the Service after changes are posted constitutes your acceptance of the modified Terms.

2. Eligibility and Account Requirements

2.1 Age Requirement

You must be at least 16 years old to use Cove. By using the Service, you represent and warrant that you meet this age requirement.

2.2 Account Registration

To access certain features, you must create an account by providing:

• Your name and basic profile information

You may also sign up using Google OAuth. When using OAuth, you authorise us to access basic profile information from your Google account.

2.3 Account Security

You are responsible for:

• Maintaining the confidentiality of your account credentials
• All activities that occur under your account
• Notifying us immediately of any unauthorised access or security breaches

We are not liable for any losses resulting from unauthorised use of your account.

3. Permitted Use of the Service

3.1 License Grant

Subject to these Terms, we grant you a limited, non-exclusive, non-transferable, revocable license to access and use the Service for your personal job search and application management purposes.

3.2 Acceptable Use

You agree to use Cove only for lawful purposes and in accordance with these Terms. You agree NOT to:

• Use the Service for any illegal or unauthorised purpose
• Violate any laws, regulations, or third-party rights
• Attempt to gain unauthorised access to our systems or networks
• Interfere with or disrupt the Service or servers
• Use automated systems (bots, scrapers) to access the Service without our written permission
• Reverse engineer, decompile, or disassemble any part of the Service
• Remove, alter, or obscure any copyright, trademark, or proprietary notices
• Use the Service to send spam, unsolicited communications, or malicious content
• Impersonate any person or entity or misrepresent your affiliation
• Collect or store personal data of other users without consent
• Resell, redistribute, or commercially exploit the Service without authorisation

4. User Content and Data

4.1 Your Content

You retain all rights to the content you upload to Cove, including your CV, cover letters, application notes, and communications (“User Content”).

By uploading User Content, you grant us a limited, worldwide, non-exclusive, royalty-free license to use, store, process, and display your User Content solely to provide and improve the Service, including:

• Processing your CV and job applications
• Generating AI-powered cover letters and recommendations
• Providing job matching and tracking features
• Improving our AI algorithms and service quality

4.2 Content Responsibility

You represent and warrant that:

• You own or have the necessary rights to upload your User Content
• Your User Content does not violate any laws or third-party rights
• Your User Content is accurate and not misleading
• Your User Content does not contain viruses, malware, or harmful code

We reserve the right to remove any User Content that violates these Terms or is otherwise objectionable.

4.3 Backup and Data Loss

While we implement backup procedures, you are responsible for maintaining your own backups of User Content. We are not liable for any loss, corruption, or deletion of your data.

5. AI-Generated Content

5.1 AI Features

Cove uses artificial intelligence (Google Gemini AI) to provide features such as:

• CV analysis and optimisation suggestions
• Cover letter generation
• Job matching and recommendations
• Interview question generation and feedback
• Salary negotiation advice
• Company research summaries

5.2 AI Content Disclaimer

IMPORTANT: AI-generated content is provided for informational and assistance purposes only. You acknowledge and agree that:

• AI-generated content may contain errors, inaccuracies, or biases
• You are solely responsible for reviewing, editing, and approving all AI-generated content before use
• We do not guarantee the accuracy, completeness, or suitability of AI-generated content
• You should not rely solely on AI-generated advice for important career decisions
• AI-generated cover letters and CVs should be personalised and verified before submission

5.3 Ownership of AI Content

You own the AI-generated content created using your inputs (such as cover letters generated from your CV). However, we retain the right to use anonymised and aggregated data to improve our AI models.

6. Third-Party Content and Job Listings

6.1 Job Listing Aggregation

Cove aggregates publicly available job listings from third-party websites and job boards, including Reed, Indeed UK, CV Library, Totaljobs, Glassdoor UK, Guardian Jobs, Jobsite, ZipRecruiter UK, and company career pages.

We are an aggregator, not a job board or recruitment agency. We do not:

• Own or control the job listings displayed
• Post jobs on behalf of employers
• Process job applications
• Have any employment relationship with hiring companies
• Guarantee the accuracy, availability, or legitimacy of job postings

6.2 Third-Party Websites

When you click on a job listing or link to apply, you will be directed to a third-party website. Your use of third-party websites is subject to their own terms of service and privacy policies, not ours.

We are not responsible for:

• The content, accuracy, or availability of third-party websites
• The hiring practices or legitimacy of employers
• Any interactions or disputes between you and third parties
• Losses resulting from fraudulent job postings or scams

6.3 Your Responsibilities

When using job listings provided by Cove, you agree to:

• Verify the legitimacy of job postings before applying
• Comply with the terms of service of any third-party websites you access
• Apply through official channels provided by the employer or job board
• Not use job listing data for commercial purposes, resale, or redistribution
• Report suspicious or fraudulent job postings to us

6.4 Intellectual Property

Job listings are sourced from publicly available information. All trademarks, service marks, logos, and company names mentioned are the property of their respective owners. We do not claim ownership of third-party content.

7. Intellectual Property Rights

7.1 Our Intellectual Property

The Service, including its design, features, software, algorithms, branding, and content (excluding User Content and third-party content), is owned by Cove and protected by copyright, trademark, and other intellectual property laws.

You may not copy, modify, distribute, sell, or lease any part of the Service without our express written permission.

7.2 Feedback and Suggestions

If you provide feedback, suggestions, or ideas about the Service, you grant us a perpetual, worldwide, royalty-free license to use, implement, and incorporate such feedback without any obligation to you.

8. Payment and Subscription Terms

8.1 Free Tier

Cove offers a free tier with access to basic features. We reserve the right to modify or discontinue the free tier at any time with reasonable notice.

8.2 Premium Features (If Applicable)

If we offer premium features or subscriptions in the future:

• Pricing will be displayed clearly before purchase
• Subscriptions will renew automatically unless cancelled
• Refunds will be subject to our refund policy at the time
• You are responsible for all charges incurred under your account

8.3 Taxes

All fees are exclusive of taxes. You are responsible for paying any applicable VAT, sales tax, or other taxes.

9. Termination

9.1 Termination by You

You may terminate your account at any time by:

• Deleting your account through the settings page
• Contacting us at support@cove.app

Upon termination, we will delete your personal data in accordance with our Privacy Policy and data retention policies (typically within 12 months for backup purposes).

9.2 Termination by Us

We may suspend or terminate your account immediately, without prior notice, if:

• You violate these Terms
• You engage in fraudulent, abusive, or illegal activity
• Your account has been inactive for an extended period
• We are required to do so by law
• We discontinue the Service

9.3 Effect of Termination

Upon termination:

• Your right to access the Service ends immediately
• We may delete your User Content (subject to backup retention periods)
• Provisions that by their nature should survive termination will continue to apply

10. Disclaimers and Limitations of Liability

10.1 Service “AS IS”

THE SERVICE IS PROVIDED “AS IS” AND “AS AVAILABLE” WITHOUT WARRANTIES OF ANY KIND, EITHER EXPRESS OR IMPLIED, INCLUDING BUT NOT LIMITED TO:

• Warranties of merchantability, fitness for a particular purpose, or non-infringement
• Warranties that the Service will be uninterrupted, error-free, or secure
• Warranties regarding the accuracy, reliability, or quality of the Service
• Warranties that defects will be corrected

10.2 No Employment Guarantees

IMPORTANT: Cove is a tool to assist with job searching and application management. We do not guarantee that using Cove will result in:

• Job offers or employment
• Interview invitations
• Improved career outcomes
• Specific results of any kind

Your job search success depends on many factors beyond our control.

10.3 Limitation of Liability

TO THE MAXIMUM EXTENT PERMITTED BY LAW, COVE AND ITS AFFILIATES, OFFICERS, DIRECTORS, EMPLOYEES, AND AGENTS SHALL NOT BE LIABLE FOR:

• Indirect, incidental, special, consequential, or punitive damages
• Loss of profits, revenue, data, goodwill, or business opportunities
• Damages resulting from use or inability to use the Service
• Damages resulting from unauthorised access to your account or data
• Damages resulting from third-party content, job listings, or websites
• Damages resulting from AI-generated content or recommendations

IN NO EVENT SHALL OUR TOTAL LIABILITY EXCEED THE AMOUNT YOU PAID TO US (IF ANY) IN THE 12 MONTHS PRECEDING THE CLAIM, OR £100, WHICHEVER IS GREATER.

10.4 Basis of the Bargain

You acknowledge that these disclaimers and limitations of liability are fundamental elements of these Terms and that we would not provide the Service without them.

11. Indemnification

You agree to indemnify, defend, and hold harmless Cove and its affiliates, officers, directors, employees, and agents from and against any claims, liabilities, damages, losses, costs, or expenses (including legal fees) arising out of or related to:

• Your use or misuse of the Service
• Your violation of these Terms
• Your violation of any laws or third-party rights
• Your User Content
• Your interactions with employers, recruiters, or other users

12. Dispute Resolution and Governing Law

12.1 Governing Law

These Terms are governed by the laws of England and Wales, without regard to conflict of law principles.

12.2 Dispute Resolution

Before filing a legal claim, you agree to first contact us at legal@cove.app to attempt to resolve the dispute informally. We will make reasonable efforts to resolve disputes amicably.

12.3 Jurisdiction

Any legal action or proceeding arising out of or related to these Terms shall be brought exclusively in the courts of England and Wales. You consent to the personal jurisdiction of these courts.

12.4 Class Action Waiver

To the extent permitted by law, any dispute resolution proceedings will be conducted only on an individual basis and not in a class, consolidated, or representative action.

13. General Provisions

13.1 Entire Agreement

These Terms, together with our Privacy Policy, constitute the entire agreement between you and Cove regarding the Service and supersede all prior agreements and understandings.

13.2 Amendments

We reserve the right to modify these Terms at any time. We will notify you of material changes via email or through a prominent notice on the Service. Your continued use after changes are posted constitutes acceptance.

13.3 Severability

If any provision of these Terms is found to be invalid or unenforceable, the remaining provisions will continue in full force and effect.

13.4 No Waiver

Our failure to enforce any right or provision of these Terms will not constitute a waiver of such right or provision.

13.5 Assignment

You may not assign or transfer these Terms or your account without our prior written consent. We may assign these Terms without restriction.

13.6 Force Majeure

We are not liable for any failure or delay in performance due to circumstances beyond our reasonable control, including acts of God, natural disasters, war, terrorism, labour disputes, or technical failures.
